SmoothStay™ is a registered DBA of HelloBnB LLC, a Wyoming limited liability company, offering a digital guidebook solution designed for vacation rentals and boutique hotels. These Terms and Conditions ("Terms") govern your access to and use of our website, applications, and SaaS platform (collectively, the "Services"). By accessing or using the Services, you, the company or legal entity utilizing the Services ("Customer"), agree to comply with and be bound by these Terms.

TL;DR — Your Agreement with SmoothStay

  • You must follow our rules and only use the Services legally

  • You retain ownership of your content — we just need a license to operate your guidebooks

  • You’re responsible for your account and actions

  • We offer support and a 14-day free trial

  • You can cancel anytime — no refunds for unused periods

  • We don’t guarantee 100% uptime or error-free performance

  • You agree to resolve disputes under Wyoming law

1. Definitions

"SmoothStay", "we", "us", "our": HelloBnB LLC (DBA SmoothStay)

  • "Customer", "you", "your": The individual or entity using the Services

  • "Authorized User": Someone permitted by you to access your account

  • "Content": Any data, text, images, or material submitted through the Services

  • "Subscription Term": The period of your paid access, defined in your Order

  • "Order": Your selected pricing plan or subscription agreement (online or written)


2. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.


3. Access and Use of Services

3.1 Grant of License

SmoothStay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the Subscription Term for your internal business purposes, subject to these Terms and any applicable documentation.

3.2 Restrictions

You agree not to:

  • Modify, reverse-engineer, or decompile any part of the Services.

  • Use the Services for any unlawful purposes or in violation of applicable laws.

  • Infringe on the intellectual property rights of others.

  • Resell, lease, sublicense, or make the Services available to unauthorized third parties.

  • Upload or process sensitive personal data (e.g., health or financial data) unless explicitly agreed upon with SmoothStay.

  • Upload or share content that is unlawful, harmful, defamatory, obscene, infringing, hateful, or otherwise objectionable.

  • Interfere with or disrupt platform operations, security, or performance.

We reserve the right to suspend or terminate accounts that violate these restrictions.

3.3 Free Trials and Beta Features

If you are using the Services on a free trial or beta basis ("Trial Services"), such Services are provided "as is" and "as available" without warranties. Trial Services may be modified or discontinued at any time without notice.


4. Customer Responsibilities

4.1 User Accounts and Security

You are responsible for maintaining the confidentiality of account credentials and ensuring that only Authorized Users access the Services. You agree to notify us immediately of any unauthorized access, security incidents, or suspected breaches.

4.2 Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including data privacy and intellectual property laws.


5. Payment and Fees

5.1 Fees and Invoicing

All subscription fees are due in advance, as specified in your Order. Payments are processed by Lemon Squeezy, our authorized payment provider and merchant of record. By subscribing, you also agree to Lemon Squeezy’s Terms of Sale.

5.2 Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales, VAT, or other taxes arising from your use of the Services, excluding taxes based on SmoothStay’s net income.

5.3 Refunds and Cancellations

We offer a 14-day free trial. You may cancel your subscription at any time via your account dashboard. Refunds are not provided for unused time or partial billing periods unless otherwise required by law.

5.4 Late Payments

Any amounts not paid when due may incur interest at 1.5% per month or the highest rate permitted by law, whichever is lower. Access to the Services may be suspended for overdue accounts.


6. Intellectual Property

6.1 Ownership

All intellectual property rights in the Services—including software, features, designs, trademarks, and underlying code—remain the sole property of SmoothStay or its licensors.

6.2 Customer Content

You retain ownership of any content or data you upload to the Services. By submitting content, you grant us a non-exclusive license to host, display, and process it solely to deliver and improve the Services.


7. Support and Availability

SmoothStay offers email-based customer support during U.S. business hours at hello@smoothstay.io. We strive for high uptime, but the Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.


8. Termination

8.1 Termination by Customer

You may cancel your subscription at any time via your dashboard. Your access will remain active through the end of your current billing cycle.

8.2 Termination by SmoothStay

We may suspend or terminate your access if you:

  • Materially breach these Terms and fail to remedy within 30 days of notice;

  • Fail to pay fees when due;

  • Use the Services in a way that harms SmoothStay’s operations, users, or reputation.

8.3 Effect of Termination

Upon termination, access will be revoked, and we may delete your data after 30 days unless otherwise required by law or agreed in writing.


9. Limitation of Liability

9.1 No Warranties

The Services are provided “as is” and “as available.” We make no warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

9.2 Limitation

Our total liability under these Terms will not exceed the total amount you paid in the 12 months prior to the claim.

9.3 Exclusions

We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.


10. Indemnification

You agree to indemnify and hold SmoothStay, its officers, affiliates, and employees harmless from any claims, liabilities, damages, or expenses arising from your use of the Services, your content, or your breach of these Terms or applicable law.


11. Confidentiality

Both parties agree to protect confidential or proprietary information disclosed during the course of using the Services. Disclosure is permitted only if required by law or with prior written consent.


12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Wyoming.


13. Changes to Terms

We may revise these Terms periodically. The “Last Updated” date at the top of the page will reflect the latest changes. Continued use of the Services after changes constitutes acceptance of the updated Terms.


14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy, represent the full agreement between you and SmoothStay.

14.2 Severability

If any provision is found to be unenforceable, the rest will remain in full force and effect.

14.3 Force Majeure

SmoothStay is not responsible for delays or failures due to events beyond our control, including natural disasters, outages, strikes, or government restrictions.
